Padearn and the Client agree to keep all confidential information, including business strategies, marketing plans, and other proprietary information, confidential and not to disclose it to any third parties without prior written consent.

7. Intellectual Property

• Ownership: All intellectual property created by Padearn in connection with the Services, including but not limited to, marketing materials, content, and designs, remains the property of Padearn unless otherwise agreed upon in writing.
• License: Padearn grants you a non-exclusive, non-transferable license to use the marketing materials created for you solely for your business purposes.

8. Termination

• By Padearn: We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
• By Client: You may terminate your engagement with Padearn at any time by providing written notice. Termination will be effective at the end of the current billing cycle unless otherwise agreed upon.

9. Limitation of Liability

To the maximum extent permitted by law, Padearn shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (i) your use of the Services; (ii) any unauthorized access to or use of our servers and/or any personal information stored therein.

10. Indemnification

You agree to indemnify, defend, and hold harmless Padearn, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your use of the Services or your breach of these Terms.

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of the jurisdiction in which Padearn is headquartered, without regard to its conflict of law principles.
